This agreement is made between

(Principal name)

hereafter referred to as Principal, and The Inventor Guide, hereafter referred to as Consultant, to investigate a possible business relationship. Consultant is a provider of new product development, market and technical information and support services.

Principal agrees to disclose certain confidential information relating to:

(brief description of new product or service)

such as, but not limited to: technical information, trade secrets, designs, drawings, specifications photographs, prototypes, samples, business information, electronic documents, statements, specifications, test results and market information (the "Principal Information"). All Principal Information remains property of Principal and will only be used for the purposes stated above. Consultant agrees to keep the Principal Information in confidence and not to make any disclosure of Principal Information unless authorized by Principal. Consultant shall protect and preserve the Principal Information at least to the same level in which the Consultant protects its own data and information of similar kind. No right or license, express or implied, is granted to Consultant in connection with the Principal Information.

The Agreement shall not apply to any information included in the Principal Information which:

1. was lawfully in Consultant’s possession prior to the execution of this Agreement, as evidenced by dated written materials;
2. is subsequently obtained lawfully by Consultant from other sources;
3. was publicly known or generally known by those in the industry as of the date of this Agreement;
4. is required by law to be disclosed;
5. Principal instructs Consultant to make public; or
6. hereafter becomes part of the public domain other than through violation of this Agreement by Consultant.

This agreement remains in effect until Principal Information becomes part of the public domain other than through violation of this Agreement by Consultant. All disputes will be subject to Canadian or Ontario law.
